(hereinafter referred to as “Xiazhi Precision”) from the counterparty Xiamen Maida Intelligent Technology Co., Ltd. (hereinafter “Xiamen Maida”) through a cash payment (hereinafter “cash acquisition”). Simultaneously, it plans to acquire a 49% stake in Xiazhi Precision from Xiamen Maida by issuing shares (hereinafter “share issuance to purchase assets”), totaling 100% ownership of Xiazhi Precision through both cash and share issuance methods. The audit and valuation work for Xiazhi Precision are still ongoing. The company needs to convene another board meeting to review the proposals related to the cash acquisition and share issuance to purchase assets. Additionally, the share issuance to purchase assets requires approval from the company’s shareholders’ meeting, review and approval by the Shenzhen Stock Exchange, and registration approval from the China Securities Regulatory Commission before implementation.
